Affiliate Program Terms

These terms are a contract between you and Forgutti Unipessoal Lda (NIF 519031075), which operates Vessero — "we" and "us" below — and cover the Vessero affiliate program: recommending Vessero through your own link and earning a commission on what the customers you refer pay.

You accept them when you tick the box on the application form in your Vessero account, which records the date and the version you accepted, and in any case by sharing your affiliate link once you are approved. If you apply for a company, you confirm you may bind it, and "you" means that company.

Your own use of Vessero, if you have an account, stays under the Terms of Service. The affiliates page and its questions summarise the program; where they and these terms differ, these terms apply.

To apply you need a Vessero account, and you must be at least 18 and able to form a binding contract where you live. Give us accurate details about yourself and the places you will promote Vessero, and keep them up to date.

A person reads every application. We decide which to accept at our discretion and do not have to give a reason for declining one. You are in the program once we approve your application and issue your link. One affiliate account per person or company.

Your link carries your link name (?via=). We track referrals ourselves, with no third-party tracker: the visitor's browser keeps your link name until they sign up, and your dashboard in your Vessero account shows your clicks, sign-ups, commissions and payouts.

A customer is a referred customer when they arrive through your link, then create a new Vessero account and pay for a subscription. These earn nothing:

• An account that existed before its owner followed your link.
• A visit our tracking did not record, for instance because the browser blocked it.
• A visitor whose browser sends Global Privacy Control or Do Not Track. We honour those signals, so such a visit is never tracked.

Our tracking records decide who referred a customer, and a customer is referred by one affiliate at most. If you think a referral was missed, tell us within 30 days of the customer's first payment; where our records show the customer came through your link, we may credit it by hand.

You earn a share of each qualifying payment: a payment a referred customer makes for a Starter, Plus, Pro or Ultra subscription within 12 months of their first subscription payment. On a yearly plan, that is a share of the yearly payment made in that time. The share depends on your tier, from 10% to 25%:

Cleared referred revenue is the total of your qualifying payments, without tax and refunds, whose hold has ended. We recalculate it daily, and when it passes a threshold you move up a tier. A tier is never lowered. A commission is earned at your rate on the day its payment arrives: moving up a tier raises the rate on later payments, not on ones already earned.

Commission is worked out on what the customer actually paid, in US dollars, after discounts and excluding VAT and sales tax. A partial refund reduces it in proportion. We may agree a different rate with you in writing, for instance if you are an established creator; it applies from the day it is agreed, and where your tier's rate is higher, the tier's applies.

Each commission is held for 45 days from the payment it comes from, so refunds and chargebacks can settle. A payment refunded in full or disputed during the hold earns nothing; one refunded in part earns commission on what was kept.

Once the hold ends the commission is payable. We pay payable commissions monthly, by PayPal or Wise, to the address you give in your dashboard, once you are owed at least $50; a smaller balance carries over to the next month. Each payout comes with a statement of the commissions in it. We are not responsible for a payment that fails because your payout details are wrong or out of date; it is sent again once you correct them. Fees your own PayPal or Wise account charges to receive a payment are yours.

A refund after the hold does not take back a commission already earned. A commission we find was earned through fraud or a breach of these terms may be cancelled, deducted from later commissions, or reclaimed if it was already paid.

You are responsible for the taxes and social contributions due on what you earn. Commission amounts include any VAT or similar tax that may be due on them; where the reverse charge applies, you account for it. We or the payout provider may ask for tax details, or an invoice, before paying, and we withhold tax where the law requires us to unless you give us what the law accepts to reduce or remove it.

The rules on the affiliates page are part of these terms, and they apply to everyone promoting Vessero on your behalf:

1. No bidding on our name. No search ads on “Vessero”, its misspellings, or our name alongside other words.
2. No coupon or deal sites. Customers who arrive from coupon, deal or cashback sites earn no commission.
3. No self-referrals. Your own accounts, and accounts you control or pay for, earn nothing.
4. Say you earn from it. Disclose that you are an affiliate wherever you share your link, clearly and before the link.
5. Describe us as we are. Only what the product does today, with anything still being built called coming, and no promises about results.
6. No spam. No unsolicited email or messages, and no ads that pretend to be us.

Also:

• No artificial traffic: no bots, forced or hidden clicks, cookie stuffing, automatic redirects, or anything else that records a visit nobody chose to make.
• No paying or rewarding people to sign up through your link, unless we agree to it in writing.
• No domains, social accounts, apps or ads whose names or looks could be taken for ours.
• No promoting Vessero alongside content that is unlawful, sexually explicit, hateful, or that infringes someone else's rights.
• Follow the law that applies to your promotion, including advertising and endorsement rules (such as the FTC's in the United States), anti-spam law, and the cookie and data-protection law that applies to your own site.

While you are in the program you may use the Vessero name, logo, screenshots and any materials we give you, unaltered, to promote Vessero under these terms. That licence is personal, non-exclusive and ends when your participation ends. It does not let you say or suggest that we endorse you, sponsor you, or are partners beyond this program, and it gives you no other rights in our name or work.

You do not receive the personal data of the customers you refer. Your dashboard shows referrals and commissions, and you must not try to identify the people behind them.

To run the program we process your name, contact details, country, payout and tax details, and your link's activity (a daily count of clicks, with nothing about the visitors). The payout provider you choose receives what it needs to pay you, and the Privacy Policy explains how we handle personal data. We keep your payout records for as long as tax law requires, even after your account is deleted. Each of us is responsible for the personal data it collects itself, including, for you, the people who visit your own site.

You are an independent contractor. Nothing here makes you our employee, agent or partner, and you may not make promises or accept obligations for us. The program is not exclusive: you may promote other products, and we may work with other affiliates.

Either of us may end your participation at any time, you by writing to us, we by telling you. When it ends, take down your links, and stop using our name and materials.

Commission stops being earned on the day participation ends. Commission earned before then is paid once its hold ends, unless we ended your participation for fraud or a breach of these terms; then commission connected with it is not paid. While we look into a suspected breach, we may suspend your account and hold its commissions.

We may change these terms or the program, including the commission rate. We update the date at the top of this page and email you at least 14 days before a material change takes effect, sooner only where the law or a risk of fraud requires it. A change never reduces commission already earned. If you do not accept a change, you can leave before it takes effect; if you stay, it applies to you. We may also end the program with 30 days' notice, and commission earned until then is still paid.

The program, its tracking and its dashboard are provided as they are. Tracking can miss a visit, and we are not liable for commission our records do not show beyond what this page says about missed referrals.

To the fullest extent the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue or goodwill, and our total liability under these terms is limited to the greater of the commission paid to you in the twelve months before the claim, or one hundred US dollars. Nothing here excludes liability that cannot lawfully be excluded, including for fraud.

You agree to indemnify Forgutti Unipessoal Lda against claims, damages and reasonable costs arising from your promotion of Vessero, your content, or your breach of these terms or of the law.

These terms are governed by the laws of Portugal, and any dispute goes to the courts of Portugal. You may not transfer your place in the program or these terms to anyone else without our written consent; we may transfer them to a company that takes over Vessero. If a part of these terms is unenforceable, the rest still applies, and not enforcing a term is not giving it up.
